1. Agreement to Terms

This Terms of Service Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Big Juicy Entertainment LLC ("BJE," "we," "us," or "our"), governing your use of the BJE platform, including the BJE Agent Hub, the BJE Artist Portal, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

2. Description of Service

The Service consists of multiple integrated platforms designed for the entertainment industry:

  • BJE Agent Hub: An internal management tool for BJE administrators and agents to manage artist bookings, contracts, offers, venues, and financial operations.
  • BJE Artist Portal: A platform for artists to manage their profiles, view and accept offers, track earnings, access educational resources, manage gig details through the Gig Hub, build audience lists, and access premium tools.
  • Thriving in the Arts Program: A subscription-based educational and professional development program for artists, accessible through the Artist Portal.
  • Gig Hub: A collaborative gig management tool within the Artist Portal that allows band leaders to organize gigs, invite musicians and production crew, manage budgets, share setlists, and coordinate logistics.
  • Public Directory: A public-facing artist directory and coach application system.

3. License Grant

Subject to the terms of this Agreement, BJE grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for purposes related to your role as an artist, band leader, production crew member, coach, agent, or administrator within the BJE ecosystem. This license does not include the right to sublicense, sell, resell, or commercially exploit the Service or any content therein.

4. User Accounts and Roles

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. The Service supports multiple user roles including:

  • Artists: Musicians and performers who maintain profiles, accept bookings, and access portal tools.
  • Band Leaders: Artists who organize gigs, invite musicians and production crew, and manage gig budgets.
  • Production Crew: Sound engineers, lighting technicians, production managers, assistants, and stage managers who participate in gigs.
  • Coaches: Qualified industry professionals who apply to mentor artists through the coaching program.
  • Agents/Administrators: BJE team members who manage the platform and artist relationships.

You agree to notify us immediately of any unauthorized use of your account.

5. Subscriptions and Payments

Certain features of the Service require a paid subscription, including but not limited to the Thriving in the Arts program, premium analytics, advanced financial insights, the EPK Builder, and other premium tools. By subscribing, you agree to the following:

  • Subscription fees are billed through Stripe, our third-party payment processor. Your payment information is handled directly by Stripe and is not stored on our servers.
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • Refunds are handled on a case-by-case basis. Contact us at [email protected] for refund requests.
  • BJE reserves the right to change subscription pricing with 30 days' notice to active subscribers.

6. Gig Hub Terms

The Gig Hub is a collaborative tool for organizing and managing live performance engagements. By using the Gig Hub, you agree to the following:

  • Compensation Privacy: Individual compensation details are visible only to the respective musician and the band leader. Band members cannot view each other's pay.
  • Budget Information: Gig budgets, including total expenses and individual payouts, are visible only to the band leader who created the gig.
  • Invite Acceptance: Accepting a gig invitation constitutes your acknowledgment of the gig details, including date, time, venue, and compensation terms as presented at the time of acceptance.
  • Setlist and Document Sharing: Documents uploaded to the Gig Hub (setlists, stage plots, etc.) are shared with all invited members of that gig. Do not upload confidential materials unless you intend to share them with the gig team.
  • Chat Communications: Messages sent in gig chat are visible to all members of that gig. BJE may retain chat logs for operational and dispute resolution purposes.

7. Audience Building Tools (SMS and Email)

The Service provides tools for artists to build and manage fan audiences through SMS text lists and email lists. By using these tools, you agree to:

  • Comply with all applicable laws regarding electronic communications, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state-specific regulations.
  • Only send messages to subscribers who have provided explicit opt-in consent.
  • Honor all opt-out/unsubscribe requests promptly.
  • Not use the audience tools to send spam, misleading content, or messages unrelated to your artistic activities.
  • Acknowledge that SMS messages are sent through Twilio and email messages through integrated email services, subject to their respective terms and rate limits.

BJE is not responsible for message delivery failures caused by carrier filtering, invalid phone numbers, or third-party service outages. You are solely responsible for the content of messages you send to your audience.

8. SMS Notifications Program (BJE Notifications)

By providing your phone number during account registration at app.bigjuicyentertainment.com/artist/signup, you consent to receive automated SMS messages from Big Juicy Entertainment LLC ("BJE Notifications") related to your business activities on the platform.

Types of messages you may receive:

  • Gig confirmations and schedule updates
  • Contract acceptance reminders
  • Payment and invoice notifications
  • Offer notifications
  • Two-way conversational messages related to your bookings

Message frequency: Message frequency varies based on your activity on the platform. You may receive up to 10 messages per week during active gig periods.

Message and data rates may apply. Contact your wireless carrier for details about your messaging plan.

To opt out: Reply STOP to any message to unsubscribe from all BJE SMS notifications. You will receive a confirmation message and no further messages will be sent.

Your phone number will not be shared with third parties for marketing purposes. SMS messages are delivered through Twilio. Your consent to receive SMS messages is not a condition of using the Service, but certain time-sensitive notifications (such as gig confirmations) may only be delivered via SMS.

9. Coach Application Program

The Artist Coach program allows qualified industry professionals to apply to mentor artists. By submitting a coach application, you represent that:

  • All information provided in your application is accurate and truthful.
  • You meet the minimum qualifications, including at least 10 years of experience in the music industry.
  • BJE reserves the sole right to approve or deny coach applications at its discretion.
  • Acceptance as a coach does not create an employment relationship with BJE. Coaches operate as independent contractors.
  • Coaching services and advice provided are the responsibility of the individual coach. BJE does not guarantee the quality or outcomes of coaching sessions.

10. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Use the Service to transmit harmful, offensive, or infringing content.
  • Share your account credentials with unauthorized third parties.
  • Misrepresent your identity, qualifications, or role within the platform.
  • Use audience building tools to harass, spam, or send unsolicited commercial messages.

11. Third-Party Integrations

The Service integrates with third-party services, including but not limited to:

  • Stripe: For payment processing and subscription management.
  • Twilio: For SMS notifications, artist invitations, and audience text messaging.
  • Google Calendar: For calendar synchronization and event management.
  • QuickBooks Online: For financial data synchronization and invoicing.
  • Google Workspace: For email communications and document management.
  • Google Maps Platform: For geocoding (converting city/state to coordinates) and proximity-based artist search. See Section 11.1 below.

Your use of these third-party services is subject to their respective terms of service and privacy policies. BJE is not responsible for the availability, accuracy, or content of third-party services.

11.1 Google Maps Platform

The Service uses the Google Maps Platform, including the Geocoding API, to provide location-based features such as proximity search for artists. By using these features, you acknowledge and agree to the following:

  • Your use of Google Maps features is subject to the Google Maps Platform Terms of Service and the Google Privacy Policy.
  • Location data sent to Google consists only of the city and state text you voluntarily provide in your profile. No GPS, IP-based, or real-time location data is transmitted.
  • Google may process the geocoding requests in accordance with its own privacy policy. BJE does not control how Google processes this data.
  • The accuracy of geocoded coordinates depends on the specificity of the city/state information you provide and on Google's geocoding service.

11.2 Location Data and Proximity Search

The Service includes features that allow users to search for artists by geographic proximity. By using the Service, you acknowledge and agree to the following:

  • Self-Reported Location: Your city, state, and country information is provided voluntarily through your profile. You are responsible for keeping this information accurate and up to date.
  • Derived Coordinates: Approximate latitude and longitude coordinates are derived from your self-reported city and state using a geocoding service. These coordinates are stored in our database and used for proximity-based search calculations.
  • Visibility: Your city and state may be visible to other users through the artist directory and search results. Exact coordinates are not displayed to other users; only the city/state name and approximate distance are shown.
  • Timezone Auto-Detection: Your timezone is automatically detected from your browser settings when you log in. This data is used to display dates and times in your local timezone. You can view and modify your timezone in your account settings at any time.
  • Data Control: You can edit or remove your location information at any time from your profile settings. Removing your city and state will remove your coordinates and exclude you from proximity-based search results.

12. Intellectual Property and Proprietary Rights

The Service, including but not limited to all software, code, designs, user interfaces, layouts, features, functionality, workflows, algorithms, databases, documentation, educational content, course materials, templates, graphics, logos, and all other materials (collectively, "BJE Content"), is the exclusive property of Big Juicy Entertainment LLC and is protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property laws.

Platform Ownership: All aspects of the BJE platform — including the BJE Agent Hub, BJE Artist Portal, Gig Hub, Thriving in the Arts program, and all related tools and features — are proprietary works created by and owned by Big Juicy Entertainment LLC. No part of the platform may be copied, reproduced, modified, distributed, displayed, performed, transmitted, or used to create derivative works without the prior written consent of Big Juicy Entertainment LLC.

Trademarks: "Big Juicy Entertainment," "BJE," "BJE Agent Hub," "Thriving in the Arts," "Gig Hub," and all related logos, marks, slogans, and trade dress are trademarks or registered trademarks of Big Juicy Entertainment LLC. You may not use, display, or reference these marks in any manner without prior written authorization.

Restrictions: You may not: (a) copy, modify, or create derivative works based on the BJE Content; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) remove, alter, or obscure any copyright, trademark, or other proprietary notices; (d) use any automated means to access or scrape content from the Service; or (e) sublicense, sell, resell, transfer, or distribute any part of the Service or BJE Content.

13. User Content and Data Ownership

Your Content: You retain ownership of original content you create and upload to the Service, including your artist profile information, original media (photos, videos, audio recordings), setlists, and original written communications. You are solely responsible for ensuring you have the right to upload and share any content you submit.

License to BJE: By uploading content to the Service, you grant Big Juicy Entertainment LLC a non-exclusive, worldwide, royalty-free license to use, process, store, display, and transmit your content solely as necessary to provide and improve the Service. This license includes the right to display your artist profile and media in the public artist directory, share your information with venues and clients in connection with booking opportunities, and use anonymized or aggregated data for platform analytics. This license terminates when you delete your content or close your account, except where retention is required for legal, operational, or contractual purposes.

Responsibility: You represent and warrant that: (a) you own or have the necessary rights to all content you upload; (b) your content does not infringe any third-party intellectual property rights; (c) your content complies with all applicable laws; and (d) you will not upload confidential, proprietary, or sensitive information belonging to third parties without proper authorization.

W-9 and Tax Documents: Tax documents (including W-9 forms) uploaded to the platform are stored securely and are accessible only to you and authorized BJE administrators. These documents are used solely for tax compliance and payment processing purposes.

14. Intellectual Property Ownership and Proprietary Content

Platform IP Ownership: The entire BJE platform — including all source code, software, algorithms, databases, user interfaces, designs, workflows, APIs, documentation, educational curricula, course materials, templates, tools (including but not limited to the Gig Hub, EPK Builder, Rider Builder, Setlist Builder, Stage Plot Builder, Bio Writer, Sound Advance Form, and all other tools), and all related intellectual property — is the sole and exclusive property of Big Juicy Entertainment LLC. This ownership extends to all derivative works, improvements, enhancements, and modifications made to the platform.

Proprietary Content Disclaimer: All content created by BJE, including but not limited to educational materials, course content, coaching frameworks, business templates, contract templates, rider templates, and any other materials provided through the Service, constitutes proprietary content of Big Juicy Entertainment LLC. Users may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any proprietary BJE content without prior written consent, except as incidental to normal use of the Service.

Content Uploaded by Users: While users retain ownership of their original creative works (as described in Section 12), any content uploaded to the platform is subject to the license granted in Section 12. Users acknowledge that: (a) content uploaded to public-facing features (artist directory, EPK) will be publicly accessible; (b) content shared within collaborative features (Gig Hub, chat) will be accessible to other participants; (c) BJE may use anonymized, aggregated data derived from user content for platform analytics and improvement; and (d) BJE is not responsible for unauthorized third-party access to publicly shared content.

Copyright Protection: All BJE Content is protected by copyright under Title 17 of the United States Code and by international copyright treaties. Unauthorized reproduction, distribution, or use of BJE Content may result in civil and criminal penalties. BJE actively monitors for and enforces its intellectual property rights.

15. Educational Content Disclaimer

Course and Educational Content: All educational content provided through the Service, including but not limited to the Thriving in the Arts program, coaching materials, business development resources, and any other instructional content, is provided for informational and educational purposes only. This content does not constitute professional legal, financial, tax, medical, or career advice. Users should consult with qualified professionals before making decisions based on educational content provided through the Service. BJE makes no guarantees regarding outcomes, career advancement, income levels, or professional success resulting from the use of educational content.

Pricing and Financial Insights: Any pricing suggestions, market rate data, financial analytics, or business insights provided through the Service are estimates based on available data and should not be relied upon as definitive financial guidance. Users are responsible for their own financial decisions and should consult with qualified financial professionals as needed.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BJE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. BJE DOES NOT PROVIDE LEGAL, FINANCIAL, TAX, OR MEDICAL ADVICE. ANY EDUCATIONAL CONTENT, FINANCIAL INSIGHTS, OR PRICING SUGGESTIONS PROVIDED THROUGH THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BJE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. THIS INCLUDES BUT IS NOT LIMITED TO DAMAGES ARISING FROM: FAILED MESSAGE DELIVERY (SMS OR EMAIL), PAYMENT PROCESSING ERRORS, THIRD-PARTY SERVICE OUTAGES, COACHING OUTCOMES, OR GIG-RELATED DISPUTES BETWEEN USERS.

18. Indemnification

You agree to indemnify, defend, and hold harmless Big Juicy Entertainment LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of this Agreement; (c) your violation of any third-party rights; (d) any content or messages you send through the audience building tools; or (e) any dispute between you and another user of the Service.

19. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. If you have an active subscription, termination by BJE for cause will not entitle you to a refund. Sections of this Agreement that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.

20. Dispute Resolution

Any dispute arising out of or relating to this Agreement or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Virginia Beach, Virginia.

21. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify users of material changes by posting the updated Agreement on this page with a revised "Last updated" date. For subscribers, we will also provide notice via email. Your continued use of the Service after changes are posted constitutes acceptance of the modified Agreement.

22. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.
